Corporate tax registration in Dubai 2026 guide

Corporate Tax Registration in Dubai (2026): Registration, Filing & Deadlines

Corporate tax registration in Dubai is no longer optional. Since the UAE introduced federal corporate tax for financial years starting on or after 1 June 2023, every company licensed in Dubai mainland or free zone, profitable or not must register with the Federal Tax Authority (FTA) and obtain a corporate tax Tax Registration Number (TRN).

Many business owners still assume that a small profit, a free zone licence or a dormant company means they can skip it. They can’t, and the penalty for missing the deadline is AED 10,000. This guide explains UAE corporate tax in plain language: who must register, the rates, free zone rules, Small Business Relief, how to complete EmaraTax registration step by step, the documents you need, deadlines, penalties and how corporate tax filing in Dubai works afterwards.

Getting corporate tax registration in Dubai right at the start also protects your free zone benefits, your Small Business Relief and your relationship with your bank.

What Is UAE Corporate Tax?

UAE corporate tax is a federal direct tax on the net profit of businesses. It is set out in Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses. The FTA administers it, and the Ministry of Finance sets the policy.

Corporate tax is charged on taxable income broadly, your accounting profit adjusted for items the law treats differently, such as certain exempt dividends, non-deductible expenses and reliefs. It applies per tax period, which is normally your 12-month financial year. Unlike VAT, which is charged on sales, corporate tax is charged on what your business earns after costs. If you also need help with VAT, see our VAT consultancy services.

Registration is the first step in the compliance cycle. Corporate tax registration in Dubai gives your company its corporate tax TRN, which you need to file returns, pay tax and claim reliefs. If you are planning a new company, add corporate tax registration in Dubai to your setup checklist, alongside your trade licence, visas and bank account.

Who Must Register for Corporate Tax in Dubai?

The short answer: almost every business. Corporate tax registration in Dubai is required for:

  • Mainland companies licensed by the Department of Economy and Tourism (DET), including LLCs, branches and civil companies see our mainland company setup service.
  • Free zone companies, including those that expect to pay 0% on qualifying income see our free zone company setup service.
  • Dormant companies that still hold an active trade licence.
  • Natural persons (individuals) carrying on a business in the UAE whose turnover exceeds AED 1 million in a calendar year.
  • Foreign companies with a permanent establishment, effective management or other taxable presence in the UAE.
  • Offshore companies that are managed and controlled from the UAE.

A few categories are exempt, such as government entities, qualifying public benefit entities and certain investment funds, but many of them must still register or apply to the FTA to confirm their status. If in doubt, assume you must register the cost of a missed registration is far higher than the effort of a correct one.

Voluntary registration is also possible, for example for individuals below the AED 1 million threshold who want a TRN for banking or contracts.

Do I Need a Separate Registration for Each Licence?

No. Corporate tax registration in Dubai is done per legal entity (taxable person), not per licence. If one company holds several licences or branches, they sit under the same TRN, and the registration deadline follows the earliest licence. Related companies that want to form a Tax Group must each be registered first.

UAE Corporate Tax Rates in 2026

The headline UAE corporate tax rates for resident businesses are:

Taxable incomeRate
Up to AED 375,0000%
Above AED 375,0009%
Qualifying income of a Qualifying Free Zone Person0%
Non-qualifying income of a Qualifying Free Zone Person9%

The 0% band applies to the first AED 375,000 of taxable income in each tax period. A mainland company with AED 500,000 of taxable income therefore pays 9% only on AED 125,000 that is AED 11,250.

Large multinational groups with global revenue of at least EUR 750 million are also subject to a 15% Domestic Minimum Top-up Tax for financial years starting on or after 1 January 2025. This does not affect most SMEs.

These rates apply in the same way across all seven emirates, so corporate tax registration in Dubai follows the same federal rules as registration in Abu Dhabi or Sharjah.

Remember: a 0% rate does not remove the obligation. Corporate tax registration in Dubai is required even if your company will pay nothing.

Corporate Tax for Free Zone Companies

Corporate tax for free zone companies is where most mistakes happen. A free zone company does not automatically pay 0%. It pays 0% only on qualifying income, and only if it meets the conditions to be a Qualifying Free Zone Person (QFZP):

  • Maintain adequate substance in the free zone real premises, staff and spending that match its activities.
  • Earn qualifying income from the qualifying activities and transactions set out in Cabinet and Ministerial Decisions.
  • Keep non-qualifying revenue within the de minimis limit, generally the lower of 5% of total revenue or AED 5 million.
  • Not elect to be taxed at the standard rates.
  • Prepare audited financial statements.
  • Comply with transfer pricing rules and documentation.

Income that does not qualify for example, most sales to mainland customers outside the qualifying rules is taxed at 9%. If a QFZP breaks the conditions, it can lose its qualifying status for that tax period and the following four.

Every free zone entity must still complete corporate tax registration in Dubai or in its emirate, file an annual return and keep records even a QFZP with no tax to pay. Before relying on the 0% rate, map each income stream against the qualifying rules; our team reviews this as part of corporate tax registration in Dubai for every free zone client.

Small Business Relief

Small Business Relief (SBR) lets eligible resident businesses be treated as having no taxable income for a tax period. You can elect for it if:

  • Your revenue is AED 3 million or less in the relevant tax period and in each previous tax period.
  • The tax period ends on or before 31 December 2026.
  • You are not a Qualifying Free Zone Person and not a member of a large multinational group.

SBR is elected in the corporate tax return, not at registration. It brings the tax payable to zero, but you still need corporate tax registration in Dubai, a filed return and proper records. Once revenue goes above AED 3 million in any period, SBR is no longer available for that period or later ones.

Example: a consultancy with AED 2.4 million revenue in 2025 can elect SBR in its 2025 return. It still needs corporate tax registration in Dubai, and it must file that return on time to claim the relief.

Because the relief currently covers tax periods ending on or before 31 December 2026, small businesses should plan now for normal rates especially if their profit is above AED 375,000.

How to Complete EmaraTax Registration (Step by Step)

EmaraTax registration is done online through the FTA’s EmaraTax portal. Here is how corporate tax registration in Dubai works in practice:

  1. Create or log in to your EmaraTax account using your email or UAE Pass. If you already have a VAT account, use the same profile.
  2. Create or select the taxable person the company or individual you are registering.
  3. Open the Corporate Tax tile and choose Register to start the application.
  4. Enter entity details legal name in English and Arabic, legal form, trade licence number, issuing authority and licence dates.
  5. Add business activities, owners and branches, including any branches under the same licence.
  6. Enter contact details and the authorised signatory, with proof of authority such as a power of attorney or an MoA clause.
  7. Upload documents in the required format and check every field against your trade licence.
  8. Submit the application and respond quickly if the FTA asks for more information.
  9. Receive your corporate tax TRN by email and in the portal. Save the certificate and set reminders for your first return.

Timelines depend on the FTA’s review and how complete your application is. Wrong names, licence numbers or financial year dates are the most common reasons for delays.

Tips for a Smooth EmaraTax Registration

  • Use the exact legal name shown on your trade licence.
  • Confirm your financial year before you start, because changing it later needs FTA approval.
  • Keep scanned documents clear and within the upload size limits.
  • Use an email address your finance team checks daily, as FTA requests come with response deadlines.

These checks make corporate tax registration in Dubai faster and reduce FTA queries.

Documents Needed for Corporate Tax Registration in Dubai

  • Valid trade licence, plus any branch licences
  • Memorandum and Articles of Association, or equivalent founding documents
  • Passports and Emirates IDs of the owners and the authorised signatory
  • Proof of the signatory’s authority (power of attorney, board resolution or MoA clause)
  • Company contact details and registered address
  • Financial year start and end dates
  • For free zone and offshore companies: certificate of incorporation and free zone licence documents
  • For individuals: Emirates ID, passport and evidence of business activity and turnover

Make sure names and numbers match exactly across all documents. Documents that are not in English or Arabic may need a certified translation. Having everything ready before you log in can turn corporate tax registration in Dubai into a single sitting.

Corporate Tax Deadlines and Penalties

Deadlines depend on when your business was established:

  • New companies: register within three months of incorporation or licence issue.
  • Companies that existed before 1 March 2024: the deadline was set by the month the trade licence was issued. Those deadlines have passed, so any company still unregistered is already exposed to the penalty.
  • Natural persons: register by 31 March of the year after the year in which turnover exceeded AED 1 million.
  • Tax return and payment: within 9 months of the end of each tax period for a calendar year company, by 30 September of the following year.
  • Deregistration: apply within three months of stopping business.

The penalty for late corporate tax registration in Dubai is AED 10,000. Late filing and late payment also attract penalties, and errors in returns can lead to further fines, so treat every deadline as fixed.

If you have already missed a deadline, register immediately. The penalty does not go away by waiting, an unregistered company cannot file its return, and late corporate tax registration in Dubai can complicate licence renewals and bank reviews.

Corporate Tax Filing in Dubai: Filing the Return

After registration, corporate tax filing in Dubai is an annual obligation. For each tax period you must:

  • Prepare financial statements under IFRS, audited where required (for example, for QFZPs and businesses with revenue above AED 50 million).
  • Calculate taxable income, applying adjustments, exempt income and reliefs.
  • Elect Small Business Relief in the return, if you are eligible.
  • File the return on EmaraTax within 9 months of the end of the tax period.
  • Pay any tax due by the same deadline.
  • Keep accounting and tax records for at least 7 years.

Your first return is due 9 months after your first tax period ends, and that period is fixed by the financial year you entered during corporate tax registration in Dubai. You must file even when no tax is due. Clean books make the return quick and accurate our accounting services team can keep your records ready all year.

Common Corporate Tax Registration Mistakes

  • Assuming free zone or small businesses don’t need to register
  • Registering the wrong legal entity or using an outdated trade licence
  • Entering the wrong financial year dates, which shifts every future deadline
  • Forgetting branches or additional licences
  • Leaving dormant companies unregistered
  • Claiming the 0% free zone rate without checking the QFZP conditions
  • Missing the three month deadline after incorporating a new company
  • Not keeping records for the full 7 years
  • Treating corporate tax registration in Dubai as a one off task and forgetting annual filing

Any of these can lead to penalties or a rejected application. A quick review before you submit your corporate tax registration in Dubai saves time and money.
